Day 2: Commercial Relationships and Obligations

  • Understanding key terminology in the commercial realm

  • Unpacking the essence of applied contract law

  • Understanding key relationships within Agency, Partnerships, International Sales (incorporating Incoterms), Insurance, Intellectual Property, Dispute Resolution, Insolvency, and Bankruptcy

Day 3: Types of Contractual Agreements

  • Distinguishing between various contract types

  • Evaluating diverse commercial arrangements covered by contracts

  • Analysing conventional contracts, including lump sums, schedules of rates, bills of quantities, and reimbursable contracts

  • Considering alternative approaches like risk and reward sharing and BOT contracts

  • Adapting different management approaches for distinct contracts

Day 4: Standard Contracts and Common Terms

  • Exploring the concept of model contracts

  • Investigating the use of industry and company standard terms

  • Reviewing common clauses found in various contract types, including warranties, defects liability, variations, liquidated damages and penalties, limits of liability, suspension, and termination

  • Addressing contract management issues arising from these clauses

Day 5: Contract Management and Risk Assessment

  • Defining the role of contract managers and administrators

  • Examining methods to control third-party risk

  • Understanding consequential loss

  • Exploring the concepts of frustration of contract and Force Majeure

  • Concluding contracts and maintaining records
